Eligibility: Nestle Essentia Nation Rewards Gameday Giveaway (“Sweepstakes”) is open to legal residents of the 50 United States and District of Columbia who are 18 years of age or older (or 19 years of age or older for residents of AL and NE) (“Entrant”). Void where prohibited. No purchase necessary to enter the Sweepstakes. Employees of Nestle USA Inc. (“Sponsor”), Brandmovers, Inc. (“Administrator”), and/or any of their respective affiliates, subsidiaries, advertising agencies, or any other company or individual involved with the design, production execution or distribution of the Sweepstakes (collectively with Sponsor, the "Sweepstakes Entities") and their immediate family (spouse, parents and step-parents, siblings and step-siblings, and children and step-children and their respective spouses, regardless of where they reside) and household members of each such employee, whether or not related, are not eligible to enter or win. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations. Participation constitutes entrant's full and unconditional agreement to these Official Rules and Sponsor's and Administrator’s decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

Sweepstakes Period: The Sweepstakes begins at 12:00:00 AM Eastern Time (“ET”) on October 14, 2024 and ends at 11:59:59 AM ET on October 31, 2024 (the "Sweepstakes Period").

How to Enter: You must be a member of Essentia Nation Rewards to enter. It is free to join. If you’re not already a member you’ll be prompted to register to earn an entry. If you are already a member you’ll be prompted to login in order to participate. Once registered and logged in, there are three ways to earn an entry into the sweepstakes.

● Register to become an Essentia Nation Rewards member (“Registration Entry”): One (1) entry will be awarded upon registration for Essentia Nation Rewards (if not already a member) during the Sweepstakes Period. To register, visit www.essentianationrewards.com/register and follow the steps to become a loyalty member. You will receive one entry into the Sweepstakes once you have verified your email via the email confirmation that’s sent to the email address provided at registration. Limit one (1) “Registration Entry” entry during the Sweepstakes period. Not valid for current members.

● Complete your profile (“Profile Entry”): Essentia Nation Rewards Members will receive one (1) entry upon completing their profile during the Sweepstakes Period. Members who have already completed their profile and earned points for that completion are not eligible for this bonus entry. To complete your profile, visit https://essentianationrewards.com/dashboard/edit-profile and complete the input fields, including the three questions, and click “save”. Your entry will be confirmed once you “save” your information. A profile photo is NOT NECESSARY to earn an entry for profile completion. Limit one (1) “Profile Entry” entry per member, during the Sweepstakes Period.

● Upload an approved receipt (“Receipt Upload Entry”): Essentia Nation Rewards Members will receive one (1) entry for each valid uploaded receipt for purchase of qualifying ESSENTIA® product during the Sweepstakes Period (a “Qualifying Purchase”). Visit www.essentianationrewards.com (“Website”) and follow the directions to upload a copy of your receipt showing your Qualifying Purchase. Once the photo of your receipt showing your Qualifying Purchase is received and verified by Sponsor or Administrator, entrant will receive a confirmation email. Limit of one (1) “Receipt Upload Entry” per member, per day, regardless of the number of approved receipts (or number of Essentia products on each receipt) uploaded in one day. For purposes of this Sweepstakes, “receipt” of an entry occurs when Sponsor/Administrator’s server records the entry information resulting from the entrant selecting the “SUBMIT” button. Automated entries (including but not limited to entries submitted using any robot, script, macro, or other automated service) are not permitted and will be disqualified

● AMOE: To enter without purchasing and uploading a receipt : please handprint your full name, address, city, state and zip code, day and evening telephone numbers (including area codes), and e-mail address on a 3"x5" postcard and mail in a #10 sealed envelope with proper postage affixed to: Nestle Essentia Nation Rewards Gameday Giveaway, c/o Brandmovers, P.O. Box 1807, Clayton, GA, 30525. No mechanical reproductions or stamped entries permitted. Sweepstakes Entities are not responsible for lost, late, postage due, mutilated, stolen or damaged mailing of any entry request. Upon receipt of the mail-in entry, entrant will receive one (1) entry into the Sweepstakes. Limit one (1) entry per stamped, outer envelope, per person, per day. For the purpose of mail-in entries, the “day” of entry will be deemed the date the entry is postmarked.
Once submitted, an entry cannot be deleted, canceled, or modified. All entries become the property of the Sponsor. Sponsor reserves the right, in its sole discretion, to void any and all entries of an entrant who submits more than the one permitted entry, or who the Sponsor believes has attempted to tamper with, influence, or impair the administration, security, fairness, or proper entry into this Sweepstakes.

Sweepstakes Random Drawing: Potential winners will be selected via a random drawing from among all eligible entries received during the Sweepstakes Period, to be conducted by Administrator, to occur on or about November 8, 2024. Potential winners will be notified by email on or about the day of the random drawing. The potential winners must respond to the winner notification email within 72 hours of time sent or they may forfeit their right to the Prize and that Prize may then be awarded to an alternate winner, at Sponsor’s sole discretion, and time permitting. Sponsor will complete two rounds of winner administration and outreach. Any prizes not awarded after these two attempts will be forfeited. Potential Grand Prize winner will be required to complete and return a Liability and Publicity Release (where legal) within 72 hours of issuance (“Winner Release”), or Grand Prize will be forfeit (at Sponsor’s sole discretion). Potential Grand Prize winner will also be required to execute and return an IRS Form W-9 (and will receive a subsequent 1099 IRS Form for the actual retail value of the prize) along with a Winner Release and any other documentation that Sponsor may require and return it by the date specified by Sponsor in the notification, or prize may be forfeited in its entirety and another potential winner may be selected, time permitting. Grand Prize winners will be issued a 1099 for the actual value of the prize for the calendar in which the prize is awarded.
THE POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY ADMINISTRATOR AND SPONSOR’S DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES.

Odds: Odds of winning depend on the number of eligible entries received throughout the Sweepstakes Period.

PRIZES AND APPROXIMATE RETAIL VALUE (“ARV”): Sweepstakes Prizes: One (1) Grand Prize – $3,500.00, awarded in the form of a check made out to the Grand Prize winner. ARV: $3,500.00. Ten (10) First Prizes – A $100 eGift Card. ARV: $100 each. Total ARV of all prizes is $4,500.00. Limit one (1) Prize per person during the entire Sweepstakes Period.

General Prize Conditions and Restrictions: Prizes are not transferable and may not be redeemed for cash value. All federal, state and local taxes on prizes are the sole responsibility of the winner. Gift cards are subject to the terms, conditions and restrictions accompanying the gift card. No cash redemptions for gift cards. No substitutions of prize, except Sponsor may substitute a prize, or portion thereof, for one of equal or greater value at Sponsor’s sole discretion. All prize details are at Sponsor’s sole discretion.

Entry Conditions and Release By entering, each entrant agrees to release, indemnify, defend and hold harmless the Sweepstakes Entities from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a participant's entry, creation of an entry or submission of an entry, participation in the Sweepstakes, acceptance or use or misuse of prize (including any travel or activity-related thereto) and/or the broadcast, exploitation or use of entry.

General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, for any reason whatsoever, including, without limitation, fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction or if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. If the Sweepstakes is terminated before the designated end date, Sponsor will (if possible) award the Prizes in a random drawing from all eligible, non-suspect entries received for the Sweepstakes as of the date of the event giving rise to the termination or as otherwise deemed fair and appropriate by Sponsor. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances. Entrant further agrees and acknowledges that Sponsor reserves the right to forfeit or award any unclaimed or leftover Prize at its sole discretion. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or any other Sweepstakes or in an unsportsmanlike or disruptive manner and void all associated entries and/or prizes claims. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Only the type and quantity of prizes described in these Official Rules will be awarded. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

Limitations of Liability: The Sweepstakes Entities as set forth above are not responsible for: (1) for late, lost, jumbled, garbled, misdirected, delayed, incomplete, incorrect, or inaccurate entries, prize claims, email, mail, or other communications of any kind, whether caused by any of the equipment or programming associated with or utilized in this Sweepstakes or by any human error; (2) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (3) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (4) unauthorized human intervention in any part of the entry process or the Sweepstakes; (5) technical, network, mechanical, typographical, human or other error or problem which may occur in connection with the Sweepstakes, including, but not limited to, errors or problems which may occur in the administration of the Sweepstakes or the processing of entries, or prize claims, the announcement of the prizes, or in any Sweepstakes-related materials; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes or receipt or use or misuse of any prize (including any travel or activity-related thereto). If for any reason an entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant's sole remedy is another entry in the Sweepstakes, provided that the Sweepstakes has not been terminated.

Disputes/Governing Law: Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, other than those concerning the administration of the Sweepstakes or the determination of Winners or for any disputes arising from the loss or injury from the participation in a Prize, shall be resolved individually, without resort to any form of class action; (ii) any disputes arising out of these Official Rules (except for any disputes arising from the loss or injury from the use of Prizes) shall be submitted to final, binding arbitration conducted in the State of Virginia under the Arbitration Rules and Procedures of the Judicial Arbitration and Mediation Services Inc. before a single, neutral arbitrator who is a former or retired Virginia state or federal court judge with experience in entertainment matters who shall follow Virginia law and the Federal Rules of Evidence and have no authority to award punitive damages. Either party may enforce a final arbitration award in any court of competent jurisdiction in the state of Virginia, including an award of costs, fees and expenses incurred in enforcing the award. Notwithstanding the foregoing, Released Parties shall be entitled to seek injunctive relief (unless otherwise precluded by any other provision of these Official Rules) in the state and federal courts of the state of Virginia. Any dispute or portion thereof, or any claim for a particular form of relief (not otherwise precluded by any other provision of these Official Rules), that may not be arbitrated pursuant to applicable state or federal law may be heard only in a court of competent jurisdiction in the state of Virginia; (iii) any and all claims, judgments and awards shall be limited to actual out-of- pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys' fees; and (iv) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out- of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Virginia, without giving effect to any choice of law or conflict of law rules (whether of the State of Virginia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Virginia.
